1. Payment Structures

Unless otherwise agreed upon in writing, a 50% upfront payment of the total project fee is required once you instruct NerdSites to begin work. The remaining 50% is due upon completion of the work, subject to your reasonable satisfaction and the terms in “Approval of Work” and “Rejected Work.”

Work will not commence until the initial payment is received. The 50% deposit is refundable only if NerdSites has not fulfilled its contractual obligations. If work has begun and you cancel the project without fault on our part, the deposit becomes non-refundable.

2. Supply of Materials

You are responsible for providing all necessary materials to complete the project in line with the agreed specification. This may include (but is not limited to): text content, images, logos, and other assets.

Any delay in providing these materials may result in an adjustment of previously agreed timelines.

3. Changes & Additional Requests

Reasonable revisions are included in your project. We may limit the number of revisions and bill for significant changes outside the original scope at a rate of $60.00 + GST per hour.

You will have 30 days after project delivery to request free changes that remain within the scope of the original agreement. These may include:

• Content updates
• Image/video changes
• Creating new pages based on existing layouts

Major changes or requests beyond the original scope will be quoted separately.

4. Project Delays & Client Responsibility

Estimated timelines depend on full cooperation from you, including prompt content delivery and regular feedback. A single point of contact from your side must be available daily to facilitate progress.

5. Approval of Work

Once the work is completed, you will have 7 days to review and notify us of any issues in writing. If no feedback is received within that timeframe, the work is deemed approved.

After approval, any further changes may incur additional charges, and the final 50% payment becomes due.

6. Rejected Work

If you reject any work during the review period, and we believe the rejection is unreasonable, NerdSites may consider the contract terminated and will pursue payment for work completed to date.

7. Payment

After the 7-day review period or upon approval, the remaining 50% of the project fee will be invoiced and becomes payable immediately.

8. Client Warranty of Ownership

You confirm that all materials provided (text, images, trademarks, etc.) are either owned by you or properly licensed for use. You agree to indemnify NerdSites against any legal issues arising from content you supply.

9. Search Engines

We will implement basic SEO best practices during development. However, we do not guarantee search engine rankings, positions, or traffic.

10. Disclaimer

To the fullest extent allowed by law, all implied warranties or guarantees are excluded. Any liability that cannot be excluded is limited, at our discretion, to:

• Re-performing services
• Replacing services
• Refunding service costs

11. Subcontracting

NerdSites reserves the right to subcontract any part of your project to qualified providers.

12. Confidentiality

We (and any subcontractors) agree to keep your confidential information private and not share it with any third party.

13. Backups & Hosting

If you do not host with NerdSites, you are responsible for website maintenance and backups.

If you host with us:

• We manage backups and server maintenance.
• For security reasons, we do not provide direct hosting logins.
• You may transfer files through the WordPress dashboard or by request.

After full payment, the completed website becomes your intellectual property, excluding:

• Licenses for premium themes/plugins (which remain under our management)
• Server-side software and configurations

If you leave our hosting, we will provide you with the necessary files and databases for migration.

Website Hosting

1. Loss of Service

We aim to provide stable hosting but may perform routine upgrades or experience outages due to:

• Scheduled maintenance
• Hardware/software failure
• Internet or utility failure
• Force majeure (e.g., natural disasters, war, civil unrest, etc.)

We will provide reasonable notice for planned outages. You agree not to hold NerdSites liable for any service interruption or loss resulting from these causes.

2. Payment

Hosting fees must be paid on schedule. If payment is not received within 7 days of the due date, your hosting account may be suspended until full payment is made or a payment plan is approved.

SEO Services

1. Liability

NerdSites does not guarantee search engine rankings, lead quality, or sales performance.

You acknowledge:

• Search engines may change algorithms or deindex pages at any time.
• These actions are outside of our control.
• No refunds or discounts will be given for ranking loss, provided we fulfill our obligations.

You agree to:

• Accept full responsibility for your business’s performance and customer results.

2. Subcontracting

We may subcontract SEO tasks as needed, while still ensuring quality control.

After any mandatory contract period, either party may terminate with 1 month’s written notice, provided all payments are current (excluding those disputed in good faith).
